Affiliate Terms

These Affiliate Terms govern cash payouts under SoundToggle’s referral program. You accept them when you apply for cash payouts from your Refer & Earn page. Referral participation with account-credit rewards does not require acceptance of these terms — it is governed by Section 9A of our Terms of Service, which also applies to everything in this document.

“SoundToggle,” “we,” and “us” mean Capital Trading Group LLC, the operator of the SoundToggle service.

1. Applying and Approval

Cash payouts require an application and our approval. We review every application individually and may approve or decline at our discretion; we are not required to give a reason. If declined, you continue to earn account credit as before and may reapply after 90 days.

Approval applies only to commissions earned after approval. Account credit earned before approval remains account credit and is never converted to cash.

2. Commissions

Commissions are earned as described in Section 9A of the Terms of Service: one commission per referred user, on their first payment only, at the rates published on the Refer & Earn page, calculated on the amount we actually collect after any discount. We may change commission rates prospectively at any time; commissions already earned are honored unless earned through fraud or abuse.

3. Payment

  • Cash commissions become payable 90 days after the underlying payment, reflecting the card-dispute window. This is longer than the 30-day hold for account credit because paid cash cannot be recovered the way an internal balance can.
  • Payouts are made once your payable balance reaches $20 USD, normally monthly, to the payout method you provide (such as PayPal). You are responsible for keeping your payout details accurate; payments to the details you provided discharge our obligation.
  • If a payment underlying a commission is refunded, disputed, or charged back, the commission is reversed. Reversed amounts that were already paid are deducted from your future payouts.
  • A stranded cash balance below the payout threshold may, on request, be converted to account credit. Credit is never converted to cash.
  • Unclaimed cash balances on accounts closed for a breach of these terms are forfeited. On termination without breach, legitimately earned commissions are paid after their 90-day hold.

4. Taxes

Cash payouts are income to you. You are solely responsible for any taxes on them. Where required by law, we will request tax documentation (such as IRS Form W-9 or W-8) before making payouts, and we may withhold or report where legally obligated. We will not pay out to participants who fail to provide required tax documentation.

5. Promotion Rules

When promoting SoundToggle:

  • Disclose the relationship. Wherever you share a referral link for compensation, include a clear disclosure (for example: “I earn a commission if you subscribe through my link”), as required by the FTC and equivalent regulators.
  • Quote our published facts. State discounts, prices, and features as published on our site — never invent or round up an offer. Approved copy and assets are provided in our brand kit, and its usage rules apply.
  • Do not: bid on “SoundToggle” or confusingly similar terms in paid search; list referral links or purported coupon codes on coupon or deal sites; send unsolicited bulk messages; use automated link farms, bots, or incentivized clicks; misrepresent yourself as SoundToggle or as our employee or agent; or promote on properties featuring unlawful content.
  • No self-dealing. Referring yourself, households or entities under your control, or manufacturing transactions to generate commissions is a breach and results in forfeiture.

6. Relationship

You are an independent participant. These terms create no employment, agency, partnership, or joint venture, and you may not bind us or make commitments on our behalf.

7. Termination and Changes

Either of us may end your participation in cash payouts at any time. We may also modify these Affiliate Terms; changes apply prospectively, and we will notify approved participants of material changes by email. Continued participation after notice is acceptance. On termination for breach — including promotion-rule violations or fraud — unpaid commissions are forfeited.

8. General

The Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution provisions of the Terms of Service apply to these Affiliate Terms. If these terms conflict with the Terms of Service on a matter of cash payouts, these terms control.
